This 10K Minnesota Single Parent Contest (“Contest”) is solely sponsored and promoted by Love Give Repeat (“LGR”), and is governed by these Official Rules (“Rules”).

1. Who Can Enter the Contest.

In order to enter this Contest and be considered to be a participant (“Participant”), you must meet the following qualifications: (A) you must be competent to contract; (B) you must adhere to and abide by all of the Rules; (C) you must be a natural person; (D) you must be over the age of twenty-one (21); (E) you must be a legal resident of the State of Minnesota; (F) you must have an active YouTube account; (G) you must be a single parent of at least one (1) child; and, (H) you must be eligible to receive government assistance. If you meet all of these qualifications, you may be considered to be a Participant. You cannot enter this Contest if you are: LGR or its subsidiaries, affiliates, advertising or promotion agencies, partners, representatives, agents, successors, assigns, employees, officers or directors; associated in any way with the development, implementation or execution of this Contest; or members of the immediate families (defined as including spouse, biological, adoptive and step-parents, grandparents, siblings, children and grandchildren, and each of their respective spouses, regardless of where they reside) or households (whether related or not) of any of the above.

2. Contest Duration.

The Contest starts on April 4, 2022 (4/4/2022) at 8:00:00 AM (CST), and ends on June 30, 2022 (6/30/2022) at 11:59:59 PM (CST) (the “Contest Period”). After the Contest Period has ended, LGR’s judges will review all Participants and select certain Participants as finalists (“Finalists”) based on the judging criteria identified in these Rules, during the period beginning July 1, 2022 (7/1/2022) at 8:00:00 AM (CST), and ending July 5, 2022 (7/5/2022) at 11:59:59 PM (CST) (the “Selection Period”). The Finalists will be contacted through the third-party that nominated each of them, respectively, and the Finalists must meet with LGR during the period beginning July 6, 2022 (7/6/2022) at 8:00:00 AM (CST), and ending July 12, 2022 (7/12/2022) at 11:59:59 PM (CST) (the “Interview Period”). LGR will post a video on YouTube showcasing the Finalists on July 18, 2022 (7/18/2022), and that video shall be open for comments until July 25, 2022 (7/25/2022) at 11:59:59 PM (CST) (the “Voting Period”). The Finalists must meet with LGR during the period beginning July 26, 2022 (7/26/2022) at 8:00:00 AM (CST), and ending July 31, 2022 (7/31/2022) at 11:59:59 PM (CST) (the “Final Interview Period”). The Finalist that has won the Contest will be announced in a video posted by LGR on YouTube on August 5, 2022 (8/5/2022) (the “Winner Announcement”). The other two Finalists that are runners-up in the Contest will be announced in video(s) posted by LGR on YouTube during the period beginning August 8, 2022 (8/8/2022), and ending August 14, 2022 (8/14/2022) (the “Runners-Up Announcement(s)”). After the Winner Announcement and the Runners-Up Announcement(s), the Contest will end on August 14, 2022 (8/14/2022) at 11:59:59 PM (CST). LGR’s computer server is the official time-keeping device for the Contest.

3. How to Enter the Contest.

To enter this Contest, a Participant must be nominated during the Contest Period by a third-party that is a natural person over the age of twenty-one (21) with an active YouTube account that includes an active personal email address (to allow LGR to communicate via email), and that is subscribed to LGR’s YouTube page (“TP”). LGR will post a series of videos to YouTube during the Contest Period, and TP’s will be able to comment on any of those videos to nominate a Participant. Each TP’s comment on a LGR video posted to YouTube during the Contest Period shall constitute a nomination of a Participant. A TP’s nomination of a Participant must include the Participant’s name, a description of Participant, and the reason(s) why TP believes that Participant should win a prize in this Contest. A TP’s nomination of a Participant shall not include any obscene or indecent material, defame, misrepresent or contain disparaging remarks, communicate messages or images inconsistent with the positive images and/or goodwill to which LGR associates. Further, a TP’s nomination of a Participant shall not include the following content: (a) sexually explicit or suggestive, violent or derogatory of any ethnic, racial, gender, religious, professional or age group, profane or pornographic, contain nudity or any materially-dangerous activity; (b) promotes alcohol, illegal drugs, tobacco, firearms/weapons (or the use of any of the foregoing), any activities that may appear unsafe or dangerous, or any particular political agenda or message; (c) is obscene or offensive, endorses any form of hate or hate group; (d) contains trademarks, logos or trade dress owned by others, or advertises or promotes any brand or product of any kind, or contains any personal identification, such as license plate numbers, e-mail addresses or street addresses; (e) defames, misrepresents or contains disparaging remarks about other people or companies; (f) communicates messages or images inconsistent with the positive images and/or good will to which LGR wish to associate; (g) contains copyrighted materials owned by others (including photographs, sculptures, paintings and other works of art or images published on or in Web sites, television, movies or other media) without permission; (h) contains materials embodying the names, likenesses, photographs, or other indicia identifying any person, living or dead, without permission; and (i) depicts, and cannot itself, be in violation of any law. LGR reserves the right to monitor and will monitor or screen nominations. By entering, each TP and each Participant acknowledges that a nomination may be posted on LGR’s Facebook, Instagram, Tik Tok, LinkedIn, Twitter, and/or YouTube account(s) and/or Web site, in LGR’s sole discretion. LGR has no obligation to use or post any nomination. LGR shall have full right and power to copy, publish, broadcast, display, distribute, use, edit, translate, alter, combine with other material, reuse and adapt any or all portions of the nominations in any way and for any purpose whatsoever, at any time, now or in the future, in any media now known or hereafter devised throughout the world in any manner whatsoever and for any purpose. Online nominations that are not in accordance with the Rules as stated herein, contain prohibited content or are not received during the Contest Period will be ineligible. LGR reserves the right to delete a TP’s nomination for any reason. A Participant may only be nominated by one TP; if a Participant is nominated by more than one TP, LGR will only consider the first comment in which a TP nominates a Participant. Any attempt by any TP and/or Participant to obtain more than one nomination by using multiple/different accounts, identities, registrations and logins, or any other methods will void that TP’s and/or Participant’s nominations and that TP and/or Participant may be disqualified. Use of scripts, macros or any other automated system to participate or subvert the process is prohibited and will result in disqualification of a Participant. All TP’s and Participants must each have a valid and active personal email address. No TP may nominate a Participant after the Contest Period has ended. No Participant may enter this Contest without a nomination by a TP. Nominations that do not adhere to and abide by all of the Rules shall not be considered by LGR.

4. You Agree to Rules.

By entering and participating in this Contest, you agree to be bound by these Rules. All Participants irrevocably agree to adhere to and abide by all of the Rules. All TP’s irrevocably agree to adhere to and abide by all of the Rules. Each Participant represents and warrants that they qualify as a Participant in this Contest. LGR will solely and exclusively determine whether a Participant qualifies as such under the Rules. Participation constitutes each TP’s and each Participant’s full and unconditional agreement to abide by and be bound by these Rules and LGR’s decisions, which are final and binding in all matters related to the Contest. Winning any prize is contingent upon fulfilling all requirements set forth herein. LGR’s decisions as to the administration and operation of the Contest and the selection of the potential winners and runners-up are final and binding in all matters related to the Contest. The Contest is subject to all applicable federal, state, and local laws and regulations and is void outside MN and where prohibited.

5. Judge Criteria.

After the Contest Period ends, LGR shall select judges to identify which Participants will become the Finalists. The judges shall be solely selected by LGR, and each judge shall be qualified to employ the judging criteria, in the sole opinion of LGR. The judges shall evaluate each nomination using the judging criteria during the Selection Period. The judging criteria is as follows: (A) the form of the nomination for each Participant; (B) the substance of the nomination for each Participant; (C) the worthiness of each Participant to receive a prize in this Contest; and, (D) no information or documentation outside of a nomination shall be considered. The judges shall select at least six (6) Participants as Finalists, and then the judges shall collectively rank the six (6) Participants on a list, to determine the Winner and the Runners-up. The bottom three (3) other Participants that are Finalists, but are not the Winner nor Runners-up, shall not be disclosed to the public, unless one or more of the top three (3) Finalists do not qualify as a Participant or have failed to strictly comply with the Rules, in LGR’s sole opinion. In the event that a top three (3) Finalist does not qualify as a Participant, or has failed to strictly comply with the Rules, the next Finalist on the judges’ list (i.e., fourth (4th) place Finalist) shall move up the judges’ list; this process will continue until the top three (3) Finalists on the judges’ list are verified as Participants in this Contest. Once the judges’ list has been created to identify the top three (3) Finalists, LGR shall contact the TP that nominated each said Finalist to set up an interview with TP and Finalist during the Interview Period. If a TP or a Finalist does not timely respond to LGR, or does not attend an interview with LGR during the Interview Period, that Finalist may be disqualified in LGR’s sole election and discretion. Each Finalist shall attend the interview with LGR during the Interview Period with the following documentation to show the documentation to LGR: (A) their current, unexpired Minnesota driver’s license; (B) their signed federal and state tax returns from 2020 or 2021; and, (C) any documentation conclusively evidencing that they are eligible for government assistance (e.g., letter confirming MinnesotaCare medical care will be provided). In the event that a Finalist fails to attend the interview with LGR during the Interview Period with the foregoing requisite documentation, that Finalist may be disqualified in LGR’s sole election and discretion. LGR will record the interview with each Finalist and the TP that nominated them, but LGR shall not publish or otherwise disclose the portion of the interview during which the Finalist shows the foregoing requisite documentation to LGR, unless LGR is required by law or is required to make a disclosure in the course of litigation. During the interview with each Finalist and the TP that nominated them, LGR will ask TP and Finalist to answer LGR’s questions about the nomination, and questions about why that Finalist should win a prize in this Contest. LGR shall edit each interview with each Finalist and the TP that nominated them, to create one video to showcase the final top three (3) Finalists that will be posted to YouTube during the Voting Period (the “Voting Video”).

6. Selection of Winner and Runners-up.

There shall only be one (1) winner of the Contest (“Winner”). There shall only be two (2) runners-up of the Contest (“Runners-up”). Winner and Runners-up shall each be selected by the public during the Voting Period. In LGR’s post of the Voting Video, the members of the public shall vote for the Finalist by commenting on the Voting Video with the name of the Finalist that each member of the public believes to deserve to win the Contest. In order to comment on the Voting Video, a member of the public shall have an active YouTube account, shall be a natural person, shall be competent to contract, and shall be over the age of twenty-one (21). Each such comment on the Voting Video during the Voting Period shall constitute a vote in favor of the named Finalist showcased in the Voting Video. A vote must include the Finalist’s name. A vote shall not include any obscene or indecent material, defame, misrepresent or contain disparaging remarks, communicate messages or images inconsistent with the positive images and/or goodwill to which LGR associates. LGR reserves the right to monitor and will monitor or screen votes. By voting, each voter acknowledges that a vote may be posted on LGR’s Facebook, Instagram, Tik Tok, LinkedIn, Twitter, and/or YouTube account(s) and/or Web site, in LGR’s sole discretion. LGR has no obligation to use or post any vote. LGR shall have full right and power to copy, publish, broadcast, display, distribute, use, edit, translate, alter, combine with other material, reuse and adapt any or all portions of the votes in any way and for any purpose whatsoever, at any time, now or in the future, in any media now known or hereafter devised throughout the world in any manner whatsoever and for any purpose. Online votes that are not in accordance with the Rules as stated herein, contain prohibited content or are not received during the Voting Period will be ineligible. LGR reserves the right to delete a vote for any reason. Any attempt by any TP and/or Participant to obtain votes by using multiple/different accounts, identities, registrations and logins, or any other methods will void that TP’s and/or Participant’s nominations, and that TP and/or Participant may be disqualified. Use of scripts, macros or any other automated system to participate or subvert the process is prohibited and will result in disqualification of a Participant. All TP’s and Participants must each have a valid and active personal email address. No person may vote after the Voting Period has ended. Votes that do not adhere to and abide by all of the Rules shall not be considered by LGR. Once the Voting Period has ended, LGR will count the votes for each of the three (3) Finalists showcased in the Voting Video, and LGR will identify one (1) Winner and two (2) Runners-up. Winner and Runners-up shall each be contacted by LGR using the contact information that each provided to LGR during the respective meetings conducted during the Interview Period, and shall each meet with LGR during the Final Interview Period. LGR shall have no liability for a failure to receive notices due to spam, junk e-mail, or other security settings or for provision of incorrect or otherwise non-functioning contact information. If the selected Winner and/or Runners-up cannot be contacted, is/are ineligible, fails to timely meet with LGR to claim a prize within the Final Interview Period, or fails to timely return a completed and executed declaration and releases as required, a prize may be forfeited, and an alternate Finalist selected as a Winner and/or Runner-up, as applicable. The receipt of a prize offered in this Contest is conditioned upon compliance with any and all federal and state laws and regulations. ANY VIOLATION OF THESE RULES BY ANY WINNER AND/OR RUNNER-UP (AT LGR’s SOLE ELECTION AND DISCRETION) WILL RESULT IN DISQUALIFICATION FROM THE CONTEST AND ALL PRIVILEGES AS WINNER AND/OR RUNNER-UP WILL BE IMMEDIATELY TERMINATED. Potential Winner and Runners-up may be required to complete, sign and return an Affidavit of Eligibility and Liability/ Publicity Release within a specified time period, or to respond to LGR’s inquiries as to eligibility, as a condition of being awarded a prize. If a potential Winner and/or Runner-up cannot be reached after reasonable efforts have been made (as determined by LGR), if a prize notification is returned as undeliverable, if a potential Winner and/or Runner-up is determined by LGR to be ineligible, or if a potential Winner and/or Runner-up cannot or does not comply with these Rules, they will be disqualified and, at LGR’s sole election and discretion, an alternate Finalist may be selected as a Winner and/or Runner-up, as applicable. LGR shall have no liability if a notification is lost, intercepted or not received for any reason. LGR is not responsible for any change in any email account or other contact information subsequent to entering the Contest. EACH WINNER AND RUNNER-UP IS SUBJECT TO VERIFICATION BY SPONSOR. EACH WINNER AND RUNNER-UP WILL NOT RECEIVE ANY PRIZE UNLESS AND UNTIL HE/SHE HAS BEEN VERIFIED AND NOTIFIED THAT THE VERIFICATION IS COMPLETE.

7. Prizes.

There are three (3) prizes in this Contest. The Winner will receive the sum of ten thousand dollars ($10,000.00) from LGR as a prize. The two (2) Runners-up will each receive the sum of two thousand dollars ($2,000.00) from LGR as a prize, respectively. Each prize may be provided in the form of a paper check, cash, or other payment instrument, at LGR’s sole election and discretion. The prizes do not include any other elements, which are not expressly described above. Winner and Runners-up are responsible for any and all applicable fees, and incidentals and any other unspecified expenses associated with acceptance or use of each prize. All other costs and expenses not specifically mentioned herein are the responsibility solely of the Winner and Runners-up, respectively. LGR reserves the right to substitute a prize or portion thereof of equal or greater value if an advertised prize or portion thereof becomes unavailable. No prize substitution (in whole or in part), cash redemption, sale or transfer of prize shall be permitted by the Winner and/or Runners-up, except at LGR’s sole election and discretion. LGR makes no warranties, and hereby disclaim any and all warranties, express or implied, concerning any prize furnished in connection with the Contest. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, THE PRIZE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, AND LGR HEREBY DISCLAIMS ALL SUCH WARRANTIES, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND/OR NON-INFRINGEMENT. Each prize is non-transferrable. All prize details are at LGR’s sole election and discretion. Winner and/or Runners-up may be required to complete, sign and return an Affidavit of Eligibility/Liability Release, and, where lawful, Publicity Release and other documents as requested by LGR prior to acceptance of a prize. Receiving a prize is contingent upon compliance with these Rules. In the event that the potential Winner and/or Runners-up is/are disqualified for any reason, LGR will award the prizes to an alternate from among all remaining Finalists. By accepting a prize, the recipient consents to the use of his/her name, photograph, likeness, taped, filmed or otherwise recorded image, statements and limited biographical information (city and state of residence) for publicity or advertising purposes in all media worldwide, including but not limited to social media, without limitation and without further compensation or notice. In no event will LGR be liable for awarding more than one (1) prize to the Winner; in no event will LGR be liable for awarding more than one (1) prize to each of the two (2) Runners-up. If, for any reason, the Contest cannot be executed as planned, including but not limited to any printing, administrative, human or other error of any kind, transmission failure, infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, social media mandate or any other causes beyond the control of LGR that corrupt or affect the security, administration, fairness, integrity or proper conduct of the Contest, or if the Contest is compromised or becomes corrupted in any way, electronically or otherwise, LGR reserve the right, in their sole election and discretion, to cancel, terminate, modify or suspend the Contest without notice. If the Contest is terminated prior to the end date of the Contest Period, the prizes may be awarded as determined by LGR, in LGR’s sole election and discretion. LGR reserves the right at their sole election and discretion to disqualify any individual for: (a) tampering with the entry process or the operation of the Contest; (b) acting in violation of these Rules or any laws; (c) attempting to undermine the legitimate operation of the Contest by cheating, hacking, deception, misappropriation, infringement, or any other unfair playing practices; (d) poor sportsmanship; or (e) acting in a way that is intended to annoy, abuse, threaten, or harass any other participants, LGR, or their respective representatives. LEGAL WARNING: ANY ATTEMPT TO DELIBERATELY DAMAGE, DESTROY, TAMPER OR VANDALIZE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST A LGR WEBSITE OR SOCIAL MEDIA ACCOUNT MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND WILL RESULT IN DISQUALIFICATION FROM PARTICIPATION IN THE CONTEST. SHOULD SUCH AN ATTEMPT BE MADE, LGR RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES (INCLUDING ATTORNEY FEES) TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION. All federal, state and local laws and regulations apply. Winners are solely responsible for any taxes on any prize, and will receive an IRS Form 1099 for the ARV of the prize. Any valuation of the prize stated above is based on available information provided to LGR, and the value of any prize awarded may be reported for tax purposes as required by law. Winner and Runners-up are each solely responsible for reporting and paying any and all applicable taxes. Winner and Runners-up must each provide the Sponsors with valid identification and a valid taxpayer identification number or social security number before any prize will be awarded. Each person winning over six hundred dollars ($600.00) in the form of a prize from LGR will receive an IRS form 1099 at the end of the calendar year and a copy of such form will be filed with the IRS. No cash equivalent or substitution of prize is offered, except at the sole discretion of the LGR. No transfer of prize is permitted. Unclaimed prize will not be awarded. The Winner may be identified in a Winner Announcement. The Runners-up may be identified in a Runners-Up Annoucement.

8. Rights Granted by You.

By entering the Contest, each TP and each Participant agrees that each nomination will be deemed a Work Made For Hire under the Copyright laws of the United States, but if it cannot be so deemed, then the entrant irrevocably assigns and transfers to LGR all of his/her right, title and interest in and to his/her nomination, including all but not limited to all copyright and trademark rights which he or she may have, in the United States and worldwide, therein, for consideration, the receipt and sufficiency of which is hereby acknowledged. Each TP and each Participant hereby waives in favor of LGR, all rights of "Droit Moral" or "Moral Rights of Authors" or any similar rights or principles of law that winner may now or later have to his/her nomination. Each TP and each Participant agrees that LGR may use a nomination for any and all purposes, including, without limitation, advertising, publicizing, and promoting the business of LGR, and/or the charitable, civic, and other community involvement and activities of LGR, in any and all media, including, without limitation, electronic, print, and social media, websites, television, radio, and streaming broadcasts, webcasts, and signage, on a worldwide basis, without any compensation other than Participant’s participation in this Contest. LGR reserves the right to alter, change or modify any nomination, in its sole discretion. Upon request of LGR, each TP and/or each Participant shall execute and deliver such additional instrument of assignment, as may be solely deemed by LGR, reasonably necessary to establish the ownership of record of the right, title and interest in and to the nomination and of the copyrights transferred and "Moral Rights of Authors" waived under these Rules. Should LGR fail to request said assignment as stated, that shall not be deemed a waiver of Sponsor's rights and Sponsor may at a later time request the assignment. By entering the Contest, each TP and each Participant agrees that LGR, and its respective licensees, successors and assigns will have the right, where permitted by law, without any further notice, review or consent to print, publish, broadcast, distribute, and use, worldwide in any media now known or hereafter in perpetuity and throughout the world, your nomination, your interview with LGR (if any), including, without limitation, the nomination and name, portrait, picture, voice, likeness, image or statements about the Contest, and biographical information as news, publicity or information, advertising, public relations and promotional purposes without any compensation other than Participant’s participation in this Contest.

9. Reserved Rights.

LGR reserves the right to, in its sole election and discretion, cancel, terminate, modify, or suspend the Contest should a virus, bugs, non-authorized human intervention, fraud or other causes beyond its control corrupt or affect the administration, security, fairness or proper conduct of the Contest. In such a case, LGR may select the winner and runners-up from all eligible nominations received prior to and/or after (if appropriate, in LGR’s sole election and discretion) the action taken by LGR. LGR reserves the right to, in its sole election and discretion, disqualify any TP or Participant who tampers or attempts to tamper with the nomination process or the voting process or the operation of the Contest or website or violates these Rules. LGR has the sole right to maintain the integrity of the Contest, to void nominations for any reason, including, but not limited to; multiple nominations or votes from the same user from different IP addresses; or the use of bots, macros or scripts or other technical means for nominating or voting. Any attempt by any TP, Participant, or other actor to deliberately damage any web site or undermine the legitimate operation of the Contest may be a violation of criminal and civil laws and should such an attempt be made, LGR reserves the right to seek damages from any such attempter to the fullest extent permitted by law. LGR is not liable in the event that any portion of the Contest or prize is canceled due to weather, fire, strike, acts of war or terrorism, or any other condition beyond its control (a "Force Majeure Event"). The releases hereunder are intended to apply to all claims not known or suspected to exist with the intent of waiving the effect of laws requiring the intent to release future unknown claims.

10. Severability.

The invalidity or unenforceability of any provision of these Rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein.

11. Social Media Disclaimer.

LGR is solely responsible for the lawful operation of this Contest. 13. Disputes.

THIS CONTEST IS GOVERNED BY THE LAWS OF THE STATE OF MINNESOTA, WITHOUT REGARD TO CONFLICT OF LAW DOCTRINES. As a condition of participating in this Contest, each TP and each Participant agrees that any and all disputes which cannot be resolved between the parties, and causes of action arising out of or connected with this Contest, shall be resolved individually, without resort to any form of class action, exclusively before a court located in Minnesota, which each TP and each Participant agrees shall have jurisdiction over TP and/or Participant, and LGR. Further, in any such dispute, under no circumstances will a TP or Participant be permitted to obtain awards for, and hereby waives all rights to claim punitive, incidental, or consequential damages, including reasonable attorney fees, other than TP’s or Participant’s actual out-of-pocket expenses (i.e. costs associated with entering this Contest), and TP or Participant further waives all rights to have damages multiplied or increased.
